Welcome to Grille Pros Canada. These Terms of Service (“Terms”) govern your use of our website and the purchase of products from our store. By accessing our website or purchasing from us, you agree to be bound by these Terms.
1. General Conditions
Grille Pros Canada reserves the right to refuse service to anyone at any time for any reason. By using this site, you confirm that you are at least the age of majority in your province or territory of residence.
You agree not to use our products or services for any unlawful or unauthorized purpose.
2. Trademark, Intellectual Property, & Nomenclature Disclaimer
Grille Pros Canada is an independent, third-party distributor of aftermarket automotive components.
- Descriptive Use Only: All product names, logos, brands, vehicle makes, and models featured or referred to within this website (including, but not limited to: Toyota, Tacoma, Tundra, RAV4, Sequoia, and TRD PRO) are the exclusive intellectual property and registered trademarks of their respective trademark holders.
- No Corporate Affiliation: Grille Pros Canada has no official affiliation, sponsorship, endorsement, authorization, or partnership with Toyota Motor Corporation or any original vehicle manufacturer. Any use of OEM makes, models, or trim terminology on this storefront is executed strictly under Nominative Fair Use doctrines for the sole purpose of indicating vehicle fitment and compatibility.
- Product Classification: All grilles sold on this site are aftermarket cosmetic upgrades made primarily from ABS plastic. They are not OEM parts. Products may vary slightly in appearance due to lighting, manufacturing, or screen differences. Minor imperfections consistent with ABS manufacturing may occur and are not considered defects.
We reserve the right to modify or discontinue products at any time without notice.
3. Pricing & Payments
All prices are listed in Canadian Dollars (CAD) unless otherwise stated. We reserve the right to change pricing at any time without notice.
You agree to provide current, complete, and accurate purchase and account information.
4. Cross-Border Importation, Logistics, & Transit Moratorium
Grille Pros Canada facilitates the cross-border distribution and import of automotive freight. Shipping times are estimates only and are not strictly guaranteed.
- Customs and Regulatory Delays: Because our products undergo import processing, we are not responsible or liable for logistics delays caused by international customs clearance, border inspections, agricultural holds, weather, or other external carrier factor nodes.
- In-Transit Cancellation Freeze: Orders that have been fulfilled and are actively verified by a tracking ledger to be in transit or clearing customs cannot be cancelled, amended, or refunded. A delivery delay does not constitute a failure to deliver or a breach of contract on our part.
- Lost Package Determination: Refunds or replacement shipments will only be evaluated if the carrier officially declares a package as permanently lost or destroyed in writing.
5. Anti-Fraud Payment Disputes & Chargeback Policy
By placing an order, the Buyer explicitly enters into a legally binding financial agreement and agrees to the following dispute resolution terms:
- Dispute Restriction: The Buyer explicitly waives the right to initiate a credit card chargeback or payment dispute with their financial institution under claims of "Product Not Delivered" or "Item Not Received" while the shipment is actively verified by tracking to be in transit, clearing customs, or experiencing carrier backlogs.
- Retention of Legal Title: Legal title, ownership, and property rights of the physical merchandise do not pass to the Buyer until Grille Pros Canada has received and permanently cleared full payment.
- Civil Conversion Notice: If you execute a chargeback, receive a financial reversal from your bank, and subsequently take delivery of the merchandise, you are in unlawful possession of our corporate property. This constitutes the civil tort of Conversion of Goods and Unjust Enrichment.
- Contractual Penalties & Fees: If a chargeback is successfully processed by a bank but the product is ultimately delivered, the Buyer agrees to pay Grille Pros Canada the original invoice amount plus a mandatory $50.00 CAD/USD administrative and chargeback processing fee to cover bank chargeback penalties and administrative costs.
- Mandatory Return Window: To waive the administrative fee, the Buyer must return the uninstalled merchandise in its original packaging using a prepaid label provided by us. The package must receive a carrier scan within five (5) business days of delivery confirmation.
- Collection and Law Enforcement Escalation: Failure to repay the balance or return the merchandise will result in immediate forfeiture of the account to an international third-party collection agency, resulting in a negative delinquency report to major credit bureaus (Equifax, Experian, TransUnion). Furthermore, we reserve the right to file cross-border civil claims and report the matter as retail fraud to the law enforcement agency in the Buyer’s local residential jurisdiction.
6. Installation & Use Liability Disclaimer
Our products are aftermarket automotive parts and may require modification or professional installation.
- Fitment Verification: It remains the sole responsibility of the Buyer to verify their specific vehicle year, trim line, and bumper configuration to ensure compatibility before finalizing a purchase.
- Installation Indemnification: Professional installation by a licensed technician is strongly recommended. Grille Pros Canada is not responsible or liable for improper installation, damage caused to vehicles during installation, or a failure to follow manufacturer or vehicle guidelines.
- Limitation of Liability: To the maximum extent permitted by applicable law, Grille Pros Canada shall not be liable for any direct, indirect, incidental, or consequential damages, loss of profits, revenue, vehicle damage, personal injury, or installation-related issues. Our total financial liability shall not exceed the amount paid for the product. Use of our products is executed strictly at your own risk.
7. Prohibited Uses
You are prohibited from using this site or its content:
- For any unlawful purpose
- To violate any Canadian laws or regulations
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others
- To transmit malicious code or interfere with site functionality
- To engage in fraudulent, misleading, or transaction manipulation activity
We reserve the right to terminate your access or cancel pending orders for violations of these Terms.
8. Returns & Refunds
Returns may be accepted in accordance with our Return Policy.
- Items must be unused and in original packaging.
- Customers may be responsible for return shipping costs.
- Certain items, including custom or installed products, may be non-refundable.
9. Disclaimer of Warranties
All products and services are provided “as is” and “as available” without warranties of any kind, either express or implied.
To the fullest extent permitted by Canadian law, Grille Pros Canada disclaims all warranties, including merchantability, fitness for a particular purpose, and durability. We do not guarantee that products will meet your expectations or that service will be uninterrupted or error-free.
10. Indemnification
You agree to indemnify, defend, and hold harmless 1588837 B.C. Ltd. dba Grille Pros Canada, its owners, employees, and affiliates from any claims, damages, liabilities, or expenses arising from your breach of these Terms, your misuse of our products, or your violation of any law or third-party rights.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable laws of Canada.
Any disputes or cross-border civil claims arising from this agreement or your purchase shall be resolved exclusively in the courts of British Columbia, Canada.
12. Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain valid and enforceable.
13. Changes to Terms
We reserve the right to update or modify these Terms at any time. Changes will take effect immediately upon posting on our website.
